These terms and conditions of use (“Terms of Use”) govern the usage of our online interfaces and properties owned by PinkBridge Corp, including website pinkbridge.com, PinkBridge mobile applications (“Site”), and the services (“Services”) accessible to users through the Site. PinkBridge LLC (“PinkBridge”, “PinkBridge Corp”, “we”, “us”, “our”) contracts with PinkBridge NP Family Health PC (“PinkBridge PC”, “PC”) to assist them in professional services between the PC healthcare providers (“Providers”) and their patients. The professional healthcare services provided by PC and the non-clinical online interfaces and properties provided by PinkBridge are collectively referred to in this Terms of Use as the “Services”.
Important Information
You should carefully read these Terms and Conditions of Use Agreement (“Agreement”). Your use of our website and our services implies that you have read and accepted these Terms of Use. The term “you” refers to both yourself and any other individual using your PinkBridge account. The access rights provided to you in this Agreement cannot be transferred to others without the explicit written permission of the owner(s) of pinkbridge.com. You hold the responsibility for the actions taken by any individual who utilizes your access to the Site or services.
Your agreement to and adherence with these Terms of Use is essential for utilizing the Site and Services. By using the Services, you confirm that you are at least eighteen (18) years old and possess the necessary legal capacity and competence to agree to and comply with all the terms, conditions, obligations, affirmations, representations, and warranties outlined in this agreement. You acknowledge that you have thoroughly read, understood, and fully accepted these Terms and Conditions, as well as our Privacy Policy, without any limitations or reservations.
If you do not agree to abide by this agreement, please refrain from using the Services and exit now.
The Terms of Use establish that any disputes between you and PinkBridge relating to these Terms of Use, or your use of the Site will be resolved through Binding Arbitration. By agreeing to these Terms, you are relinquishing your right to bring a legal action in court (including participating in a class action lawsuit) to assert or defend your rights under these Terms of Use. Your rights will be determined by an impartial arbitrator rather than a judge or jury, you agree not to bind your claims as part of a class action.
You agree that any suit, action or proceeding between you and PinkBridge in connection with or arising from this Agreement (each, a "Judicial Action") shall be governed by the law of the state of residence of the registered Administrative Contact (the "Admin State") for the Services as such laws are applied to agreements between Admin State residents entered into and performed entirely within the Admin State. You consent to the jurisdiction of federal and state courts within the Admin State. You consent to the venue in any Judicial Action brought against you in connection with breaches of this Agreement. You consent to electronic service of process regarding any Judicial Action under this Agreement.

The following Terms and Conditions govern all use of PinkBridge Site and Services, all the content, products, Services accessible through the Site are provided under the condition of your acceptance, without any modifications of all the terms and conditions outlined in this agreement, as well as any other relevant operating rules and policies that can be found here:
PinkBridge Commitment to Accessibility:
You must thoroughly read and understand this Agreement before accessing or utilizing PinkBridge Services. By accessing and using any aspect of PinkBridge Services or Site, you acknowledge and agree to be legally bound by this Terms of Use, the Notice of Privacy Practices, provided to you by PC, and PinkBridge Privacy Policy, which is part of this Agreement.
If you do not agree to all terms and conditions of this Agreement, you are not authorized to use any services of PinkBridge Corp. and it is necessary for you to immediately discontinue using this Site.
Services We Offer
PINKBRIDGE IS NOT ENGAGED IN THE PRACTICE OF MEDICINE AND IS NOT A HEALTHCARE PROVIDER. WE DO NOT PROVIDE MEDICAL CARE OR MEDICAL ADVICE.
The Site is created to provide Users with the opportunity to book professional services to be rendered by licensed medical professionals contracted by PinkBridge Corp. The user acknowledges and agrees that the Content provided on this Site, including text, photographs, graphics, illustrations, video, and other visuals is solely for informational and educational purposes. No patient-provider relationship can be formed by using our Site. The content available on this Site is not intended to suggest self-management of health issues or wellness, nor does it endorse or recommend any specific medical treatment for the specific medical condition. If the user has any health-related inquiries, it is important to promptly consult their physician without delay. In the case of the emergency, the user should call 911, or proceed to the nearest hospital emergency department.
The Content found on the Site and the Services, including recommendations, treatment suggestions, and posted articles, is provided, and managed by PC, not PinkBridge Corp. However, this information does not serve as a replacement for the personalized advice provided to you by a medical professional. The responsibility for providing you with medical services lies solely with the healthcare professional with whom you establish a treatment relationship. Our role is limited to provide a technology platform that connects you with healthcare professionals who may provide you with the requested service.
PinkBridge Site and Services are designed to enable users request, book, and receive professional services provided by licensed medical professionals, who are the contractors of PinkBridge Corp. You may select the location, where the services will be provided. Once you have made your selections, we will send a message to the healthcare provider in your area, inquiring if they are willing to provide you with the requested service at your location. If a healthcare professional agrees, we will schedule a visit and handle the billing on behalf of the healthcare provider. However, we cannot guarantee the availability of any specific healthcare professional to perform the requested healthcare service, and we do not make any representations or warranties regarding their availability.
PINKBRIDGE IS NOT A HEALTHCARE PROVIDER
PinkBridge Corp contracts with PC which provides the services. PinkBridge Corp appears as a management organization, overseeing administrative and business aspects, and is in no way intended to create a provider-patient relationship as defined by state or federal law. While PinkBridge assists you with selection and reaching out to Providers, PinkBridge does not provide medical services, and the provider-patient relationship is between you and the PC Provider. Providers are employed or contracted by PC. PinkBridge contracts with PC, an independent domestic professional service corporation with a network of US-based healthcare Providers.
The Provider with whom you establish a treatment relationship is solely responsible for the quality of the care delivered to you. Please contact the provider or PC if you have questions regarding your care during the visit. We only act as a technology platform to connect you with the providers.
THE SERVICES ARE AVAILABLE ONLY TO INDIVIDUALS WHO ARE AT LEAST EIGHTEEN (18) YEARS OLD. If you are not yet eighteen (18) years old, you must stop using the Services and immediately discontinue using the Site.
Service Fees, Payments, Refunds
PINKBRIDGE DOES NOT ACCEPT HEALTH INSURANCE AS A PAYMENT METHOD FOR ANY SERVICE.
By scheduling the appointment through the booking feature on the PinkBridge Site, you agree to pay the fee indicated for that service. Payment will be processed at the time of scheduling or at the time of service. By using the booking feature, you authorize PinkBridge to automatically process the payment for the applicable fees and the applicable taxes. We do not collect your credit or debit card information. We use third-party services to process your payment. Your payment information goes directly to the payment processor and not to PinkBridge. We shall not be held accountable for any errors or mistakes made by the payment processor or your credit card issuer.
You acknowledge and accept the responsibility of ensuring that payment for all scheduled and/or purchased services is made in advance. It is also your responsibility to ensure that the credit cards or other accepted methods you provide remain valid and have sufficient funds to cover the charges.
PINKBRIDGE REQUIRES AT LEAST 24-HOUR ADVANCE NOTICE OF CANCELLATION
Failure to cancel within a 24-hour window will result in an incurring fee. Please see our cancellation policy.
Scheduled services are provided by licensed medical professionals contracted with PC. Customers are welcome to cancel their appointment free of charge if they do so at least 24 hours before the scheduled date and time of their reservation. This allows us to accommodate other customers who may be waiting for an available slot. If a cancellation occurs less than 24 hours before your appointment time, a cancellation fee of $50 will be charged to the customer’s credit card on file. A cancellation confirmation will be sent to the customer once the cancellation is processed. In the event of a no-show, defined as cancellation 2 hours or less before the scheduled appointment, or where the customer fails to arrive for their appointment without prior cancellation, the customer will be charged $100 to their credit card on file. This additional fee is necessary to adequately compensate for any expenses or losses that may arise due to a late cancellation. In the unlikely scenario where our services cannot be provided due to the unavailability of a provider, you will be eligible for a credit or refund. Similarly, if the medical professional is only able to partially complete the services but cannot fulfill them entirely, you will receive a credit or a refund for the remaining balance, deducting only $100 assessment fee and the cost of any administered medication.
If you provide false information, including, but not limited to inaccurately representing your age or medical history, or if you appear to be under the influence of drugs or alcohol during the scheduled appointment, the PinkBridge or the designated provider reserves the right not to proceed with the booked services and charge you the full amount without issuing the refund. In this event you may reschedule your appointment for an additional fee of two hundred (200) dollars.
NO REFUNDS ON SERVICES PROVIDED.
All charges paid by you for provided services are final and non-refundable
Gift Cards
The validity period for gift cards is one (1) year from the date of purchase, and they cannot be refunded. Gift cards cannot be used in conjunction with promotional codes. If the cost of a purchase exceeds the value of the gift card, the redeemer must pay the remaining balance. After one year from the date of issue, gift cards will no longer be valid. Lost, damaged, or stolen gift cards will not be replaced. Gift cards are only applicable for use when purchased through our website Pinkbridge.com
Privacy of the Personal Information Collected Directly from You
You acknowledge and agree that information provided by you to us through the Site and Services will be handled in accordance with PinkBridge Privacy Policy which is part of this Agreement. Clinical information provided by you to the Providers will be handled by the PC according to the Notice of Privacy Practices which is part of the Agreement as well.
Rights and Responsibilities of Users
You acknowledge and agree that PinkBridge has proprietary rights towards the Services, Content, Site, including, but not limited to data, design, function, graphics, images, logo, files, media, any video, and audio information you can access through PinkBridge. In rare instances there may be Content that carries errors and inaccuracies. PinkBridge will correct the inaccurate or missed information as required by law when we become aware of it.
You acknowledge and agree that PinkBridge does not bear the responsibility for any adverse effects or harm which may occur because of using services, site, or downloads made by visitors. In rare cases when the user finds content inaccurate, with typographical errors, or any other mistakes, we encourage our users to report such occurrences to PinkBridge. We will review such reports and decide if the correction is necessary. We do not commit to change the content, except to comply with the Federal/State regulations.
You acknowledge and consent that all inquiries, feedback, features, any products arising from or based on the Services or information you provide to us shall be the exclusive property of PinkBridge. These submissions are not deemed confidential (except for the instances outlined in the Privacy Policy and Notice of Privacy Practices). We reserve the rights to use such submissions for commercial and other purposes.
You acknowledge and agree that PinkBridge grants you, as a User, access to the technology and intellectual property owned by PinkBridge or its third-party licensors. This access is limited and non-transferrable. User agrees to use this access for its intended purposes and in compliance with this Agreement.
You assure and guarantee that your utilization of the Services will strictly adhere to PinkBridge Privacy Policy, PC Notice of Privacy Practices, which are part of this Agreement, as well as all relevant federal and state laws and regulations. You agree that your use of the Services and Site will not violate or unlawfully appropriate the intellectual property rights of any third party.
Intellectual Property and Copyright Infringement
User acknowledges that Pinkbridge has proprietary rights in the Services and Content. We ask our users to respect PinkBridge’s proprietary rights. The PinkBridge logo, slogans, taglines, domain, all other trademarks, graphics, service marks associated with Services are either trademarks or registered trademarks owned by PinkBridge or the third parties. Your use of the Services does not confer any rights or licenses for the reproduction or usage of any of our trademarks or the trademarks of third parties. You may not remove or alter any copyright, trademark, logo, or any other material visible on this Site.
If you believe that any content found on the Services, or content linked to by the Services, infringes upon your copyright, we encourage you to notify PinkBridge. We will promptly address all such notifications and, if necessary and appropriate, take actions, such as removing the infringing materials or disabling links to it. If a visitor is found to be infringing upon copyrights or other intellectual property rights of PinkBridge, we may terminate or deny their access to and use of the Services without providing a refund for any previously paid amounts by the visitor whose access or use has been terminated or denied.
Data Gathering & Site Management and Improvement
By using our Services, User hereby provides PinkBridge with permission to copy and utilize any and all data, including personally identifiable information sent or entered by User while accessing the Services. This permission is solely for the purpose of enabling PinkBridge to provide the service effectively. While PinkBridge does not verify submitted information, we strive to provide the best services possible. It is important for the user to transmit data, which is truthful, and to do so in accordance with current laws and regulations.
PinkBridge makes every attempt to be as accurate and precise as possible. However, PinkBridge does not warrant that content on the Site or product description is 100% accurate, complete, and error-free.
By using the Services, you consent to having your Internet Protocol (IP) address recorded.
By using the Services, User provides PinkBridge with a permission to utilize the data capture, analysis, syndication, and similar mechanisms to extract and analyze non-personally identifiable information that result from the user’s access to the Services. The collected data will be used only in an aggregated form without identifying the source of that data. PinkBridge will not alter any information received from the User. While it is impossible to guarantee absolute security for any computer system, PinkBridge is continuously dedicated to enhancing our security measures, and working to secure personally identifiable information received from Users accessing the Site and using our Services. We reserve the right to modify any part of this Agreement at any time without the notice. We advise you to review this Agreement periodically for changes. By using or accessing the Services after any modifications to this Agreement are posted, you indicate your acceptance of those changes.
At our discretion we reserve the right to suspend your access instantly and completely to the Services, either with or without the cause, and with or without prior notice. Likewise, if you wish to end this Agreement, you can do so by ceasing your use of the Services. In the event of the Service shutdown or any legitimate grounds, we may terminate the Services immediately. Even after termination, all terms of this Agreement will remain in effect, including ownership rights, warranty disclaimers, indemnification, limitations of liability.
Visitor’s Use/Abuse and Restrictions
User agrees to adhere to the following guidelines:
a) Use the Services strictly for lawful purposes
b) Do not violate the security of the Services or use Services to breach the security of other websites through any means
c) Do not upload or distribute files that contain viruses, corrupted files, or any other similar programs that could harm the functioning of the Services or another person’s computer
d) Do not remove or alter any proprietary notice of PinkBridge or its licensors of Service
e) Do not upload or post any material that is unlawful, harassing, harmful, or hateful
f) Do not engage in any of the following activities: harvesting, copying, modifying, attempting to derive the source code, disassembling, storing, transferring to a third party, selling, leasing, creating derivative works of the Services, Content, or technology either in whole or in part before obtaining a written approval from PinkBridge
User acknowledges that any violation of these guidelines, will be considered as a breach of this Agreement. PinkBridge reserves the right to seek equitable relief, and to take appropriate actions, including immediate suspension/cancellation of the Services without prior notice or liability.
User’s account
By using this site, you accept responsibility for safeguarding the confidentiality of your account and password. You also agree to restrict access to your computer and acknowledge that you will be held accountable for any activities conducted under your account.
Disclaimer of Warranties
PinkBridge and the PC each retains absolute and exclusive authority over the operation of the Site and the Services, and may discontinue, change, delete any feature, communication, information, or functionality of the Site or the Services among other things. PinkBridge and PC are not responsible for transmission errors, corruption, or compromise of information. We are not responsible for maintaining information appearing from the use of the Site and Services. PinkBridge has a right to delete or destroy all the information on the Site or the Services in accordance with the regulations. While we strive to maintain the accuracy and righteousness of the Site and Service descriptions, PinkBridge does not provide any representations, warranties, or guarantees regarding the correctness or accuracy of the Site content or Service description. The Service is provided “as is” and “as available”. PinkBridge does not provide any warranties, whether expressed, implied, or statutory, with respect to the Services, and we explicitly disclaim and reject all other warranties, including warranties that the Services will satisfy your requirements or operate uninterrupted or error-free. This includes implied warranties or representations on conditions of accuracy, likely results, reliability, merchantability, fitness for a specific purpose, or non-infringement of intellectual property or any other violation of rights, including any other sites linked to or on the Services.
Even though PinkBridge will implement reasonable security measures, User acknowledges and agrees that electronic communication may contain errors, and break-ins. Users will back-up their data, and take necessary precautions against damages to User’s operation system which could be caused by deficiencies in the Services.
Indemnification
You agree to defend, indemnify, and hold harmless PinkBridge, its officers, employees, contractors, agents, licensors, and suppliers from and against any and all claims, damages, complaints, causes of action, judgments, charges, losses, liabilities, demands and expenses of any kind, including attorneys’ fees, arising out of your use of the Site and/or Services.
Non-human traffic restrictions
Any web spiders, bots, indexers, robots, crawlers, harvesters, or any other computer programs designed to access, read, compile, or gather content from the Services automatically, shall be considered non-human visitors (“Non-Human Visitors”). Any Non-Human Visitors using the Site or Services shall be considered extension(s) of the individual (s) who controls, authors, or otherwise make use of such Non-Human Visitors. Individuals shall be deemed responsible for the actions of their Non-Human Visitors in the same manner as if they personally visited the Site or Services. Email addresses on the PinkBridge Site and Services are considered proprietary intellectual property. It is recognized that these email addresses are provided for human visitors only. Additionally, we cannot be held accountable for any other form of transmission received from linked sites. Your consent to PinkBridge SMS/text messaging service implies that you agree to receive recurring SMS/text messages from us through your wireless provider to the phone number you provided, even if your number is registered on Do Not Call list. The Service holds no liability for delayed or undelivered messages carried through your wireless provider.
PinkBridge has opened publicly facing pages on social media sites for viewing content, videos, posting, and comments about PinkBridge. These social media sites include but are not limited to various blogs, vlogs, bulletin boards, networks, multi-media and news media sites or other user-generated content sites (collectively the “Social Media Sites”). When using social media sites operated by others, you are expected to follow their rules of conduct and abide by their terms of use. By accessing, viewing, posting any content related directly or indirectly to PinkBridge on any Social Media Site, you accept the following terms of use:
1. Do not post any content that is personal in nature and relates to other patients who use PinkBridge Services.
2. Do not: (a) violate any local, state, federal and international laws and regulations, including but not limited to copyright and intellectual property rights laws regarding any content that you send or receive via this Social Media Usage Policy; (b) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; (c) collect or store, or attempt to collect or store, personal data about third parties without their knowledge or consent; or (d) share confidential pricing information
3. Do not transmit any material (by uploading, posting, email or otherwise): (a) that is unlawful, disruptive, threatening, profane, abusive, harassing, embarrassing, tortuous, defamatory, obscene, libelous, or is an invasion of another person’s privacy, is hateful or racially, ethnically or otherwise objectionable; (b) that is unsolicited or unauthorized advertising, including advertising of other companies’ services or products, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes" or any other form of solicitation; (c) that contains software viruses, worms, disabling code, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
4. By sharing content on any Social Media Site, you provide PinkBridge with an irrevocable license to reproduce, display, and publish your content. This license also includes the right to create derivative works, edit, and utilize the content for any purpose deemed suitable by PinkBridge.

Managing or deleting your account with PinkBridge
You may review, update, or modify your account information, including profile and contact information, at any time by logging into your account at PinkBridge.com. You may delete your PinkBridge account through your account settings or by contacting us.
Unsubscribing from email marketing

CAN-SPAM Act and Telephone Consumer Protection Act Compliance
PinkBridge conducts its operations in compliance with the Controlling the Assault of Non-Solicited Pornography and Marketing Act (“CAN-SPAM ACT”) and the Telephone Consumer Protection Act (“TCPA”). All our correspondence to you intend to comply with CAN-SPAM Act and TCPA. Limitation of Liability
In no event will PinkBridge Corp., or any of its directors, managers, employees, or independent contractors be liable to User or any third party for any damages for personal injury, lost profits, business interruption resulting from the use or inability to use the Services, its content, or any of the third party content available through the Services, even if Pinkbridge Corp., or any of its directors, managers, employees, or independent contractors has been advised of the possibility of such damages.
Indemnification
As a condition of using the Services, you agree to indemnify, hold harmless, and defend PinkBridge Corp., its shareholders, directors, managers, employees, independent contractors, (“Indemnified Parties”) from any and all costs, liabilities, damages (including reasonable attorney’s fees) that may arise from or be related to any third party claims, as follows: a) Your use of Services, b) Your failure to comply with applicable laws and regulations, c) Your breach of any obligations stated in the terms and Conditions. You must not settle any claim without obtaining prior written consent of the relevant Indemnify Party. This provision is in addition to other provisions in the Agreement and is not meant to limit their scope or effect.
Termination
This Agreement will take effect when a User visits the Site or when PinkBridge grants User access to the Services and will remain in effect until terminated as per the terms herein. PinkBridge has the right to immediately terminate this Agreement with a User if they violate any of its Terms and Conditions, and such termination will be effective upon notice from PinkBridge. Users can terminate this Agreement at any time by discontinuing their use of the Services. If this Agreement is terminated for any reason, the User’s right to use the Services will cease immediately. However, the terms and provisions of this Agreement, except for the right to use the Services, will continue to be in effect following termination. Termination of this Agreement will not release either party from any obligation accrued before the termination date. User acknowledges and agrees that in the event of a significant breach of this Agreement, PinkBridge has the right to seek injunctive relief against User, without being required to post a bond, in addition to any other damages available to PinkBridge or the Indemnified Parties under the law or equity.
Confidential Information
The “Confidential Information” conveys the Services, Content, and other information disclosed by PinkBridge under this Agreement, which is identified as confidential or is reasonably expected to be confidential. Confidential Information shall not include publicly available information; information which was in User’s possession and was not obtained from PinkBridge as per written records; was disclosed by the third party, not obliged by non-disclosure; or is proven to be developed by User independently. User agrees to not to disclose the Confidential Information in any form to anyone or to use the Confidential Information for any other reason except permitted by this Agreement. User agrees to protect PinkBridge’s Confidential Information as his own, and not to disclose it in violation of the provisions of this Agreement.
The User may disclose Confidential Information if such disclosure is required by law. User agrees to provide PinkBridge prior written notice of such disclosure.
